Socer Brasil objects to corruption and bribes and does not accept deals based on illicit means. No employee is allowed to offer, receive or accept any kind of benefit to or from any business partner that may compromise the capacity to take objective and commercially fair decisions.
PRIVILEGED INFORMATION
Socer Brasil’s employees are not allowed to use privileged information. It applies especially to those which have access to such information about the company or affiliated companies or about a company with which the Group does business. The internal information may be relating to, for instance: new products or processes; merges, purchase or sale of some business or real state values; problems faced by Socer Brasil or another company with which the group does business; sales, productivity, transactions relating to significant contracts or commercial relationships; important litigations, or financial information.
Should any potential investor consider such information important to take the decision about an investment, the employee who hold this information will not be allowed to tell it to a third party until is becomes public.
Moreover, the employees are not supposed to buy or sell shares from any other company about which they have obtained non-public information, nor pass it on to a third party until it becomes public. The use of private information employed in the way cited above may also be considered illegal.

• All the employees must make comments on Socer’s legitimate interest when this kind of opportunity is given. They must not take advantage of the opportunities, use corporative information or properties or their positions in order to obtain personal benefits, nor compete directly or indirectly with the company.
• The employees must not hold any position in any external commercial organization that may affect adversely his motivation and performance, unless such work is specifically approved by the company.
• Socer encourages its employees to engage in volunteer work in their local communities and fundraising events. However, all these external activities, even the volunteer or fundraising ones, must no constitute a conflict of interest and should be compatible with their functions in the company.
• Any conflict or potential conflict of interest must be reported and discussed with their respective superiors.
RECORDS AND REPORTS RETENTION
Socer Brasil applies the highest quality standards in the information recording. All the company’s financial statements, accounting books, records and bills - whether electronically filed or printed - must reflect the transactions and events precisely and in accordance with legal requirements, accounting principles and also with the company’s internal accounting system.
Dishonest communication within the company or with organizations and personnel from other companies is expressly forbidden. Socer Brasil is committed to providing complete, precise, comprehensible information in every report and document which is filed or submitted to it complying with the Brazilians laws and other public communications.
PROTECTION AND PROPER USE OF ASSETS
Collectively, the employees are responsible for protecting and using Socer’s properties adequately. Every employee is also responsible for protecting the company’s properties from losses, damages, misuse, robberies, defalcation or destruction. Any situation or incident that may lead to these facts must be immediately reported to their superiors.
CONFIDENTIALITY AND PRIVACY
Information is one of the most valuable assets Socer owns and its open and efficient disclosure is essential to the company’s success. However, much of the business information is confidential or private and such confidentiality must be kept, unless its disclosure has been authorized by the company or demanded by some laws or standards. These rules apply specifically to intellectual property, such as commercial secrets, patents, brands, copyright, as well as business, marketing and services plans, industrial know-how and engineering, projects, database, records, information about salaries or any data or financial report that is not public.
RESPONSIBILITY
All employees must comply with the standards established in the code. Code violations will have consequences. In extreme cases, these consequences may include removing employees from their positions and dismissal. |
